The aim of this research is to study the factors that impact the decision to insource or outsource the production of vocational training programs, by using a theoretical model from the main theories of the firm, namely Transaction Cost Theory and Resources and Capabilities Theory. In doing so, we link the characteristics of a training program (transactional specificity, firm specificity, frequency, environmental uncertainty and interdependence) and insourcing decision. This relationship is explained by some mediating variables related to the perception of decision makers about the risks of opportunism and their productive and coordinative capabilities in comparison with external training providers. The theoretical model was tested through a case study on the training direction of Veolia group. We first performed a qualitative study to better understand how the concepts of our model, emerge, take shape and influence the decision of practitioners in the context of training production. Then, in order to test the validity of our hypothesis, we conducted a quantitative study based on a sample of 140 training programs, by using the method of structural equations modeling. The results provide both a detailed analysis of training production governance and a critical assessment of the theories of the firm

Financial implications for buyers in mergers and acquisitions (M&A) have been a topic of fascination with academics and practitioners for decades. Despite extensive business research dedicated toward investigating whether and how acquirers perform financially in the short and long terms following M&A, so far, the clarity of our understanding about these issues remains elusive. This doctoral thesis seeks to bring more clarity to these questions by examining complex interactions among several key aspects of M&A. Chapter 1 investigates how acquirer experience influences long-term performance through key pre- and post-transaction decisions and how such indirect influence differs in domestic and cross-border contexts. Chapter 2 explores the configurations of deal and acquirer characteristics as well as acquirer corporate governance mechanisms corresponding to positive acquirer cumulative abnormal returns (CAR). Chapter 3 investigates the interactive effects among host countries' formal institutions, acquirer characteristics and corporate governance mechanisms on acquirer CAR. Finally, Chapter 4 examines the influence of business news reports on acquirer CAR

Depuis près de deux décennies, les entreprises françaises détiennent de plus en plus de trésorerie dans leurs actifs, en excès de ce qu'il leur est nécessaire pour satisfaire à des objectifs de transaction et d'équilibre financier. Pourquoi détiennent-elles autant de trésorerie? En remontant à la période 1989-1993, les résultats de la régression logistique, sur un échantillon extrait des bases de données qualitatives Sésame et quantitatives Centrale de Bilans de la Banque de France, montrent que les entreprises ayant des valeurs mobilières de placement significatives suivent une logique stratégique d'engagement crédible décrite à partir de la théorie des coûts de transaction, de la théorie de l'agence et de l'analyse stratégique
